To be an authorized affiliate of ELifePlans.com, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the ELifePlans.com service as an affiliate. By signing up for the ELifePlans.com affiliate program, you indicate your acceptance of this agreement and its terms and conditions. SERVICE MODIFICATIONS/CHANGES ELifePlans.com may at any time elect to change and/or delete portions of this Agreement and impose changes to the ELifePlans.com service as needed. Failure to abide by the Affiliate Program rules below could result in immediate termination from the ELifePlans.com affiliate program and all earnings shall be immediately forfeited. AFFILIATE REGISTRATION REQUIREMENTS • Only individuals 18 years of age or older may participate in this service. • As an affiliate member, you must provide full and accurate information. We do not share affiliate data with any third party, but we do require affiliates to truthfully tell us who they are. • Any Affiliate found to be placing ELifePlans.com links on an unauthorized site will be automatically shut down and all earnings shall be immediately forfeited. WEB SITE REQUIREMENTS • Your site needs to be live and in production, without "under construction" notices, "coming soon" pages, etc. • You should be the owner of the domain or sub-domain that you are registering - not just a page or individual directory. • Your site must offer actual content to visitors, not just page after page of banner ads or links to external sites. • The general purpose and content of your site must be suitable for all ages. PERFORMANCE ELifePlans.com will periodically evaluate the performance of your web site and it’s affiliation with our affiliate program. If your site is not performing to acceptable standards, as determined solely by ELifePlans.com, your account may be placed into a probationary period or dropped from the program entirely. ELIFEPLANS.COM IMAGES AND BANNERS We grant you a non-exclusive, revocable right to use the ELifePlans.com banners and other such images for which we grant express permission, for the purpose of identifying your site as an Affiliate program participant and linking to the ELifePlans.com site. You may not modify the banners or any of the ELifePlans.com images in any way without ELifePlans.com’s express permission. We reserve all rights to ELifePlans.com trade names and trademarks and all other intellectual property rights. FRAUD ELifePlans.com reserves the right to terminate any member at any time without prior notice to you and/or pursue any legal action in the case of any fraud, system abuse or any type of activity deemed to be inappropriate, in violation of this User Agreement, or illegal by ELifePlans.com. You agree to promptly notify ELifePlans.com by email if you suspect that any clicks or Traffic is not legitimate. You agree not to display any content or materials on your website or through the ELifePlans.com program that: infringes upon any party’s intellectual property or other proprietary rights, or is defamatory, libelous, obscene, pornographic, or otherwise unlawful. SPAMMING Spamming to increase a click, sale or lead count will not be permitted. We do not accept spamming as a method of creating traffic. Members who participate in spamming will be immediately dropped from the ELifePlans.com affiliate program and all earnings shall be immediately forfeited. PAYMENT: Payments are sent by check to you around the 1st day of each month when your account balance reaches $100 or more from previous transactions. To reduce the risk of fraud and charge-backs to your account, funds from sales generated from your links will become available after that customer makes their second payment to ELifePlans.com. Money credited to your Account does not accrue interest. In the event of a VOID by a customer, ELifePlans.com may recover from you the corresponding Commission previously credited to Your Account. The VOID Commission will be immediately deducted from Your Account balance. In the event that Your Account balance is less than the VOID Commission, the VOID Commission will be deducted against Your future earnings. NO WARRANTIES The following disclaimers apply to the extent permitted under applicable law: notwithstanding any term in this user agreement to the contrary: (a) ELifePlans.com disclaims all warranties express or implied, including, but not limited to, all implied warranties of merchantability and fitness for a particular purpose, with respect to the ELifePlans.com program, your use of such service and any products or services sold arising out the use of such service; and (b) ELifePlans.com disclaims any warranty that (1) the ELifePlans.com program will not be interrupted or free of errors, (2) that defects will be corrected, (3) that the program is virus free, (4) that the security methods used by ELifePlans.com will not be compromised. LIMITATION OF LIABILITY In no event shall ELifePlans.com be liable to you or any other person or entity for direct or indirect damages, lost profits or any special, incidental or consequential damages however arising, including, without limitation, as a result of any acts or omissions of an advertiser or affiliate or their employees or agents, or negligence, or arising out of or in connection with the ELifePlans.com services, information provided by advertisers or affiliates, products or services sold by advertisers or affiliates, this user agreement or transactions by or among advertisers and affiliates, or third parties who transact business with any advertiser or affiliate. Except as expressly provided for otherwise in the refund paragraph of this user agreement, ELifePlans.com’s liability to you or any third parties in any and all circumstance is limited to the outstanding amount of balances deposited or balances accrued as an active ELifePlans.com member minus transaction payouts (i.e. monies paid to affiliates for traffic sent to an advertiser) and ELifePlans.com service charge(s). This limitation of liability is applicable to the fullest extent permitted under applicable law.
